Description

Within an international and regulated asset management environment, the Senior Fund Corporate Officer will be responsible for the day-to-day corporate governance and company secretarial matters of Luxembourg fund vehicles.

Key responsibilities:

1/ Corporate governance & company secretarial duties

1. Day-to-day corporate governance of Luxembourg fund vehicles and related entities
2. Maintenance of statutory registers and corporate records
3. Monitoring of signature powers and corporate authorisations
4. Follow-up of annual accounts approval processes

2 / Boards & corporate actions

1. Organisation and coordination of board meetings and written resolutions
2. Drafting of notices, agendas, minutes, proxies and attendance lists
3. Coordination of fund closings from a corporate governance perspective

3/ Fund structuring & lifecycle management

1. Incorporation of Luxembourg fund vehicles and related entities
2. Liaison with internal teams and external counsel for incorporation and marketing formalities

4/ Stakeholder coordination

1. Liaising with internal legal teams, finance teams, notaries, banks and external service providers
2. Coordination of execution of legal documentation, notarisation and apostille/legalisation
3. Management and archiving of original documentation

5/ AML/KYC & regulatory filings

1. Coordination of AML/KYC onboarding for investors, directors and shareholders
2. Statutory filings and updates with Luxembourg registers (RCS and RBE/UBO)

Qualifications and experiences required :

1. Master's degree in Law or equivalent qualification
2. Strong experience in corporate governance of Luxembourg fund structures
3. Minimum 7 years' experience in regulated financial services, asset management, corporate services or professional services environment
4. Fluency in English and French (written and spoken)
5. Very good command of Microsoft Office and familiarity with corporate databases and filing portals
